Please read these Terms and Conditions (“T&C”) carefully. The users, subscribers, and viewers (“Users”) and businesses, corporations, enterprises, educational institutes, non-governmental organizations, and governments (“Pages”) accept the terms of this T&C by accessing and/or utilizing the services of Together We Empower FZ-LLC (the “Company”). The name “+twe” is associated with the Company and is continuously referenced throughout the T&C. The Users and Pages acknowledge that they agree to this T&C and accept the rights and obligations created by it. This T&C is drafted to outline the relationship between the Users, Pages, and the Company. This T&C is designed to comply with applicable laws and standards.
INTRODUCTION
Purpose and Binding Effect: This document, referred to herein as the T&C, constitutes a legally binding agreement between the Company and the Users and the Pages. The Company operates and provides the +twe application and website (that may be made available in the future) (collectively, the “Platform”), a multifaceted Platform offering a blend of social networking, learning experiences, personal and professional development tools, and various other features as detailed herein. The primary purpose of this T&C is to govern the User’s and Page’s use of the Platform. By accessing, registering, or utilizing the Platform in any manner, the User and the Page acknowledge that they have read, understood, and agreed to be bound by this T&C, including any additional guidelines, policies, or rules that are referenced herein and/or available by hyperlink. If the User or the Page does not agree with any part of this T&C, they should refrain from accessing or using the Platform. The Company reserves the right to modify, amend, or update this T&C at any time and in its sole discretion. Such modifications shall become effective immediately upon posting to the Platform. The User’s and Page’s continued use of the Platform following any such modification constitutes the User’s and Page’s acceptance of the revised T&C.
Acceptance of T&C: Acceptance of this T&C occurs upon the User’s and Page’s use of the Platform, registration on the Platform, or by clicking to accept or agree to this T&C when this option is made available. By accepting this T&C, the User and the Page represents and warrants that:
The User and the Page have either reached the legal age of majority in the jurisdiction where the User the Page is resident under the applicable laws or their parent or legal guardian (by allowing them access to the Platform) agree to be bound by this T&C on the User’s and Page’s behalf. If the User or the Page is unsure that they have reached the legal age of majority in the jurisdiction where the User or the Page is resident under the applicable laws, the User or the Page must consult with their parent or legal guardian. If the parent or the legal guardian of the minor User allows or makes available the Platform’s services to the minor User, then the parent and the minor User or the legal guardian and the minor User shall jointly and severally accept and agree to be bound by this T&C, the Privacy Policy, Community Guidelines, and any other Company policies to the fullest extent legally possible. This consent and acceptance by the parent and the minor User or the legal guardian and the minor User, as the case may be, takes place when they expressly, freely, and voluntarily sign up to the Platform through various channels, as may be made available by the Company, to indicate their express consent and acceptance to jointly and severally accept and agree to be bound by this T&C, the Privacy Policy, Community Guidelines, and any other Company policies. However, only the parent or the legal guardian, as the case may be, shall be fully liable for the use of the Platform’s services, including any purchases, made by the minor User. Minor Users or persons with limited capacity to contract under the law of their country of residency are not permitted to use the Platform’s services without the consent of the parent or legal guardian who assumes full liability for the purpose of this T&C, the Privacy Policy, and the Community Guidelines.
All registration information the User and the Page submit is truthful, accurate, and complete, and they agree to maintain the accuracy of such information.
The User’s and the Page’s use of the Platform does not violate any applicable law or regulation.
The User’s and the Page’s profile may be deleted, and the User’s and the Page’s access to the Platform may be terminated without warning if the Company believes that the User and the Page have violated any of the provisions of this T&C or the spirit of this T&C. The User’s and Page’s acceptance of this T&C constitutes the User’s and Page’s agreement to adhere to the rules and policies established by the Company regarding the Platform, including, but not limited to, privacy policies, cookie policies, and rules concerning acceptable use, prohibited activities, intellectual property, and the various systems and models implemented by the Company, such as the points and coin systems, subscription models, and pay-as-you-go features. This T&C forms the basis of the User’s and the Page’s agreement with the Company. The User and the Page are advised to read this T&C carefully and understand each clause fully. The User’s and the Page’s use of the Platform is contingent upon the User’s and the Page’s acceptance of this T&C in their entirety.
This T&C shall be harmoniously read in conjunction with the Privacy Policy and the Community Guidelines of the Company. In the event of any conflict between the T&C, Privacy Policy, and the Community Guidelines, the provisions of this T&C shall prevail.
Consent: Users and the Pages consent to the collection, storage, and use of their personal data by the Company as described in the Privacy Policy and any related documentation. This includes the use of such data for personalizing content, advertising, and analytics as per the operational requirements of the Company. Users and the Pages consent to assume all risks associated with the use of the Platform, including, but not limited to, the risks related to online and offline interactions with other Users and other Pages, content, and third parties. Users and Pages hereby consent to receive electronic communications from the Company, such as e-mails, texts, push notifications, or messages within the Platform with an opt-out option as may be made available by the Company. This consent includes the receipt of communications related to the use of +twe, its features, promotional messages, and policy updates.
DESCRIPTION OF SERVICE
Overview of +twe Platform: +twe is a comprehensive, multifunctional digital platform designed to offer a unique blend of social networking, educational content, career development tools, and personal growth resources. The Platform encompasses a suite of features and functionalities aimed at enhancing the personal, professional, and academic experiences of its Users and Pages. +twe is committed to redefining the way young individuals engage with the professional world by offering a dynamic and interactive environment conducive to learning, sharing, and growing within a global community.
Services Offered:
Social Networking: The Platform encompasses a comprehensive suite of social networking and User and Page engagement features designed to foster a vibrant community. Users and the Pages can connect, interact, and share information with like-minded individuals, professionals, and peers through various means, including messaging and chat, a comments section, social sharing, and networking functionalities. This suite of tools is intended to facilitate meaningful connections, provide a platform for the exchange of insights, experiences, and ideas, and promote a sense of community. Users and Pages are encouraged to engage in respectful and constructive dialogue, contribute positively to discussions, and adhere to community standards as established by the Company. The Platform supports diverse content creation capabilities, allowing Users and Pages to create and share various content types, including text posts, images, videos, and short clips. These features are designed to empower Users and Pages to express themselves creatively, share valuable information, and engage with the community through rich and varied content formats. Users and Pages are expected to adhere to the Community Guidelines and any other policies set forth by the Company to maintain a respectful and constructive environment for every User and Page. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Learning Experiences: +twe offers a diverse array of academic and career-oriented learning experiences. This includes, but is not limited to, instructional content, career advice from industry experts, interactive quizzes, and other educational materials tailored to the interests and needs of Users and Pages. The Platform aims to provide an engaging and informative learning journey, catering to various ages and professional stages. The content and resources provided under this feature are for informational purposes only and are intended to serve as general guidance. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Goal Setting: The Platform integrates comprehensive tools and features that empower the Users and Pages to create, edit, and complete goals related to their academic, career, and personal development. Users and Pages can set titles, descriptions, and due dates for their goals, allowing for structured and effective goal management. This functionality is designed to assist Users and Pages in clearly outlining their objectives, diligently monitoring their progress, and ultimately achieving their aspirations. The goal-setting feature is intended to serve as a supplementary tool within the User’s and Page’s broader growth strategy, providing valuable support for personal development and continuous improvement. Users and Pages are encouraged to utilize these tools to enhance their productivity and realize their full potential within the scope of the Platform. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Leadership Board: +twe includes a leadership board feature, which serves as a platform for healthy competition among Users and Pages. The leadership board showcases the achievements and active participation of Users and Pages within the community, providing recognition for contributions and accomplishments. The criteria and mechanics of ranking on the leadership board are determined by the Company and are subject to change at the Company’s sole discretion. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Points and Coin System: The Platform integrates a points and coins system, wherein Users and Pages can earn points and coins through active participation, learning, and engagement with the Platform. These points and coins are virtual rewards that may be redeemed to unlock exclusive features, access premium content, or exchange for real-world opportunities, as defined and regulated by the Company. The accumulation, redemption, and usage of points and coins will be governed by specific rules and restrictions set forth by the Company. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Challenges, Competitions, and Streaks: The Platform provides Users and Pages with various challenges, competitions, and streak-based incentives to enhance their engagement and professional development. These include, but are not limited to, #PassionProject, #MajorDecisionJourney, #AlumniSuccessStories, and #ActiveLifeChallenge. Participation in these challenges and competitions is voluntary and solely at the User’s and Page’s discretion. Users and Pages can earn rewards for completing daily tasks and monthly goals, which are designed to foster skill enhancement and professional growth. Additionally, the Platform offers streak-based incentives. For example, if a User or a Page maintains a streak of seven (7) days, it may result in earning double experience points (x2 XP), and if a streak of 14 days is maintained, it may result in triple experience points (x3 XP). Users and Pages have the opportunity to restore lost streaks under the terms and conditions set forth by the Company. All rewards and incentives are intended to promote active engagement and continuous improvement within the Platform. Users and Pages are expected to adhere to the rules and guidelines established by the Company for participation in these activities. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Enterprise and Corporation Services: The Platform provides robust tools to promote various organizations, businesses, and corporations, including, but not limited to, educational institutes, schools, universities, companies, and non-governmental organizations, featuring comprehensive About and Admissions sections. The About section offers an overview of the organization, showcasing its unique identity, culture, and vibrant community, including faculty, staff, students, and alumni. The Admissions section serves as a detailed guide for prospective students, providing essential information on admission requirements and processes for undergraduate, graduate, and other programs. These features aim to enhance the educational institute’s visibility and attract prospective students by highlighting its strengths and offerings. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Student and Talent Acquisition: The Platform facilitates the promotion of academic programs and courses, allowing educational institutes to attract prospective students and streamline enrollment processes. Enterprises and corporations can post information about their programs, campus facilities, events, webinars, and open days, which followers can attend to gain deeper insights into the institution. Additionally, educational institutes can showcase available scholarships, grants, and financial aid programs offered by the institution, government agencies, or private organizations. The Platform also supports job and internship postings, creating a direct channel for students and alumni to access employment opportunities within their academic community, thereby fostering stronger connections and career development. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Artificial Intelligence Support Services: The Platform offers an advanced Artificial Intelligence (AI) Support Assistant designed to optimize User and Page service through intelligent conversation. This AI tool efficiently identifies customer needs and ensures personalized and engaging experiences by providing direct phone conversations with the Users and Pages. The AI Support Assistant can address various inquiries, including information about the Enterprises’ and corporations’ primary telephone numbers, diversity of faculty, degree programs, courses offered, admissions requirements, overall rankings, graduation rates, and alumni success. This innovative feature enhances responsiveness and customer satisfaction, contributing to the overall service quality of enterprises and corporations. This feature is not 100% accurate and is prone to error and hallucinations. The Company shall not be held liable or accountable in case any wrong information is provided by the AI Support Assistant. Further, the AI Support Assistant shall be acting on behalf of a Page, due to which the Page as well shall not be held liable or accountable for any error or hallucinations made by the AI Support Assistant. Such technical issues with the AI Support Assistant must be raised to the Company’s Customer Success team through the email: info@twe.co. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Analytical Insights and Institutional Ratings: The Platform provides valuable data analytics services to educational institutes, offering insights into various aspects of their operations, such as admissions and marketing effectiveness. These analytics help institutions make informed decisions and optimize their strategies. Additionally, the Platform features global and local ratings of educational institutes, businesses, and organizations, which play a crucial role in shaping the reputation of the educational institute, businesses, and organizations. High ratings from credible sources enhance the prestige of the educational institute, business, and organization and build trust among prospective students, parents, and other stakeholders. The Platform regularly showcases these ratings to the Users and Pages, reinforcing the educational institute’s, business’s, and organization’s credibility and appeal. The Platform will regularly update these ratings. However, they will not be updated on a real-time basis. For instances where the ratings may not match the real ratings, the Company shall not be held liable or accountable for these differences. In the event that the User or the Page utilizes this feature in violation of this T&C or the applicable laws, the Company shall not be held liable or responsible for any act or omission of the User or the Page, as the case may be, including any harm or damage caused to any other User, Page, or third-party.
Access Methods (App and Website): The Platform is accessible through two primary methods: the +twe application (the “App”) and the +twe website (the “Website”). The App serves as the main platform for accessing the services and is designed to offer a full range of features and functionalities as described herein. The Website primarily functions as an informational and marketing tool, providing guidance about the Company and the App. Users and Pages are required to comply with the usage policies and guidelines specific to the Platform. The terms governing the use of the App and the Website are encompassed within this T&C. Users and Pages are advised to adhere to all operational instructions, usage guidelines, and conduct requirements as stipulated by the Company for both the App and the Website. In accessing and using the services, whether through the App or the Website, Users and Pages acknowledge and agree to the terms set forth in this document and bear sole responsibility for their compliance with these terms and any additional guidelines or policies introduced by the Company. The Company reserves the right to modify, enhance, or discontinue any aspect of the Platform and its services at its sole discretion and without prior notice to its Users and Pages.
USER AND PAGE REGISTRATION AND ACCOUNTS
Account Creation Requirements: To fully access and utilize the services and features offered by +twe, it is mandatory for Users and Pages to create an account. The process of account creation demands the provision of certain personal information, which may include, but is not limited to, the User’s or Page’s full legal name, email address, date of birth, country of residence, educational background, professional experience, skills, interests, and awards. This information must be accurate, current, and complete at the time of submission. The Users and Pages also create and manage Pages. The User warrants that all information provided during the registration process (including that of Pages) and thereafter is truthful, precise, and in no way misleading or fraudulent. Users and Pages must comply with the age restrictions as outlined in this T&C. The Company reserves the right to request proof of age and, if necessary, parental consent at any stage to verify compliance with this requirement. The creation of an account on +twe is subject to a comprehensive evaluation by the Company. The Company reserves the right, at its sole discretion, to approve or deny the creation of any User and Page account and delete or disable Pages for any reason, including, but not limited to, concerns over the User’s or the Page’s age, authenticity of information, potential breaches of this T&C, or other considerations deemed relevant by the Company at its sole discretion.
User Responsibility for Account: Once an account is created, the User assumes full responsibility for all activities that occur under their account. This encompasses any actions taken by the User or any individual accessing the account with or without the User’s consent. The User agrees to immediately notify the Company of any unauthorized, illegal, or unlawful use of their account or any other breaches of security. The Company will not be liable for any loss or damage arising from the User’s failure to comply with this T&C. The User must not engage in any activity that jeopardizes the integrity, functionality, or accessibility of their account, the accounts of other Users, or the +twe Platform as a whole. This includes, but is not limited to, sharing login credentials with unauthorized parties, attempting to access other Users’ accounts, or engaging in activities that threaten the security of the Platform.
User Responsibility for Pages: Once a Page is created and managed by the User, the User and the Page assume full responsibility for all activities that occur under their account. This encompasses any actions taken by the User, Page, or any individual accessing the account with or without the User’s or Page’s consent. The User agrees to immediately notify the Company of any unauthorized, illegal, or unlawful use of their account or any other breaches of security. The Company will not be liable for any loss or damage arising from the User’s or Page’s failure to comply with this T&C. The User and the Page must not engage in any activity that jeopardizes the integrity, functionality, or accessibility of their account, the accounts of other Users and Pages, or the +twe Platform as a whole. This includes, but is not limited to, sharing login credentials with unauthorized parties, attempting to access other Users’ and Pages’ accounts, or engaging in activities that threaten the security of the Platform.
Account Security: Maintaining the confidentiality and security of account information is of paramount importance. The User and the Page is responsible for safeguarding the password and other credentials used to access their +twe account. It is strongly advised that Users and Pages select robust passwords and update them regularly to prevent unauthorized access. The Company employs various security measures to protect User and Page accounts and personal information. However, it is important to acknowledge that no method of transmission over the internet or method of electronic storage is completely secure. While the Company strives to use commercially acceptable means to protect User and Page accounts, the Company cannot guarantee absolute security. In the event of any perceived security breach or unauthorized access to a User’s and Page’s account, it is the User’s and Page’s responsibility to inform the Company immediately. The Company will investigate and take appropriate action to address the issue, but it does not assume liability for any loss or damage resulting from such incidents.
USER AND PAGE CONDUCT AND RESPONSIBILITIES
Acceptable Use Policy: The Acceptable Use Policy of the Company is devised to foster a positive, productive, and safe environment for all Users and Pages. Users and Pages must adhere to the following guidelines while engaging with the Platform:
Respectful Communication: Users and Pages are expected to communicate respectfully with other community members. This includes refraining from any form of harassment, bullying, or use of offensive language.
Intellectual Property Rights: Users and Pages must respect the intellectual property rights of others. This includes not sharing copyrighted or proprietary content without authorization.
Accurate Representation: Users and Pages are required to provide truthful and accurate information about themselves and must not impersonate others.
Legal Compliance: Users and Pages must comply with all applicable laws and regulations while using the Platform. Violation of the Acceptable Use Policy may result in various actions, including, but not limited to, a warning, temporary suspension, or permanent termination of the User’s or Page’s account.
Prohibited Activities: The following activities are strictly prohibited on +twe and may result in immediate account termination and potential legal action:
Illegal Activities: Engaging in illegal activities or encouraging others to do so.
Security Breaches: Attempting to breach or circumvent any security or authentication measures of the Platform.
Harmful Conduct: Spreading malware, viruses, or engaging in activities that could harm the Platform or other Users and Pages.
Data Harvesting: Unauthorized collection or harvesting of data or personal information from the Platform.
Spamming: Sending unsolicited messages or spam to other Users and Pages.
Content Violations: Posting or transmitting content that is defamatory, obscene, threatening, or infringes on the rights of others.
Illegal Creation of Pages by Users and Pages: Users and Pages are strictly prohibited from creating Pages for enterprises or corporations that they have no right to create. The Company reserves the right to disable or delete in the event it comes to the notice of the Company that a User or a Page has engaged in such prohibited practice.
Reporting Mechanisms for Abuse: The Company is committed to maintaining a safe and respectful community and offers several mechanisms for the User or the Page to report abuse or violations of this T&C:
Report Abuse Feature: Users and Pages can report inappropriate content or behavior directly through features that may be available within the Platform.
Contacting Customer Support: Users and Pages can contact +twe’s customer support team to report any issues or concerns.
Monitoring and Enforcement: The Company reserves the right to monitor content and behavior on the Platform to ensure compliance with this T&C. However, the Company is not obligated to monitor or police User or Page activity and does not assume liability for User or Page conduct in any manner whatsoever.
Response to Violations: The Company will review reports of abuse and take appropriate action, which may include removal of content, suspension of User or Page accounts, or legal action in severe cases.
Confidentiality of Reports: All reports of abuse will be treated with confidentiality, and the identity of the reporting User or Page will be protected to the fullest extent possible as per the applicable law.
Feedback and Suggestions: The Company encourages Users and Pages to provide feedback and suggestions for improving the safety and usability of the Platform.
INTELLECTUAL PROPERTY RIGHTS
Ownership of +twe Content: All content provided on +twe, including, but not limited to, text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and the compilation of any of these elements (collectively, “+twe Content”), is the exclusive property of the Company and is protected by the laws of the United Arab Emirates and international copyright and other intellectual property laws. The structure, organization, and code of the Platform are the valuable trade secrets and confidential information of the Company. Users and Pages are granted a limited, non-exclusive, non-transferable license to access and use the Platform and the +twe Content for their personal, non-commercial use, in accordance with this T&C. This license does not include: any resale or commercial use of the Platform or the +twe Content; any collection and use of any product listings, descriptions, or prices; any derivative use of the Platform or the +twe Content; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. All rights not expressly granted to Users and Pages in this T&C are reserved and retained by the Company. No +twe Content, nor any part of the Platform, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the express written consent of the Company. The licenses granted by the Company terminate if a User or a Page does not comply with this T&C.
User-Generated Content: Users and Pages may post, upload, publish, submit, or transmit content and materials, including, but not limited to, text, photos, audio, video, graphics, comments, suggestions, personal information, or other material (collectively, “User-Generated Content”) on or through the Platform. By making available any User-Generated Content on or through the Platform, the User and the Page hereby grant to the Company a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such User-Generated Content on, through, or by means of the Platform. Users and Pages are solely responsible for all User-Generated Content that they make available through the Platform. The Company does not claim any ownership rights in any User-Generated Content, and nothing in this T&C will be deemed to restrict any rights that Users and Pages may have to use and exploit their own User-Generated Content.
Copyright and Trademark Policies: The Company respects the intellectual property of others and expects its Users and Pages to do the same. It is the Company’s policy to respond promptly to claims of copyright or trademark infringement. Infringement claims must be submitted in writing to the Company. The Users and Pages agree to comply with all copyright and trademark laws in their use of the Platform and in their submission of User-Generated Content. Unauthorized use of the +twe Content or User-Generated Content that infringes on the intellectual property rights of others may result in civil or criminal penalties.
PRIVACY AND DATA PROTECTION
The data privacy, protection, and security for the Platform and the User’s and Page’s content shall be governed by the Company Privacy Policy.
COOKIES AND TRACKING TECHNOLOGIES
Use of Cookies: +twe employs cookies and similar tracking technologies (collectively, “Cookies”) to enhance the User and Page experience, gather usage data, and improve the functionality of its Platform. Cookies are small data files placed on a User’s and Page’s device when they visit the Platform. These Cookies may include, but are not limited to, session Cookies (which expire once a User or the Page closes their web browser) and persistent Cookies (which stay on the User’s or Page’s device until they are deleted), and may be used for various purposes such as:
Authentication and Security: To enable the identification and authentication of Users and Pages, provide secure access to the Platform, and help prevent fraudulent use and unauthorized access to User and Page accounts.
Preferences and Functionality: To remember information about Users’ and Pages’ preferences and settings, enabling a personalized User and Page experience on the Platform.
Performance and Analytics: To collect data on how Users and Pages interact with the Platform, including which pages are visited and the frequency of access, and to help identify and fix issues, thereby improving Platform performance.
Advertising and Marketing: To deliver targeted advertising and promotional content relevant to Users’ and Pages’ interests, although as of the effective date of this T&C, +twe does not engage in advertising practices. This is subject to future change at the sole discretion of the Company. User and Page Options and Consent. By using the Platform, the Users and Pages agree to the use of Cookies as described in this T&C. Users and Pages are informed of the use of Cookies upon their first visit to the Platform, and their consent is obtained where required by law. Users and Pages have the option to control the use of Cookies through their browser settings. Most browsers provide options to accept, reject, or delete Cookies, and Users and Pages may adjust these settings to their preference. However, disabling Cookies may limit the functionality of the Platform and may prevent Users and Pages from taking full advantage of the features offered by +twe. The Company reserves the right to make changes to its use of Cookies. Any changes to the use of Cookies will be communicated to Users and Pages through an update to this T&C or through other appropriate means as deemed fit by the Company. The use of Cookies is further governed by the Company’s Privacy Policy, which provides additional details on how personal information is collected, used, and protected by the Company.
SUBSCRIPTION AND PAYMENT TERMS
Subscription Models: +twe offers two distinct subscription models, each designed to cater to the diverse needs of its Users and Pages. These models are outlined as follows:
Premium Subscription: The premium subscription provides Users and Pages with unlimited access to +twe’s “let’s learn” module, a monthly allotment of fifty (50) coins, a premium badge, and enhanced functionalities in profile creation, content creation, direct messaging, and networking capabilities. The Company may continuously offer new services and features to the Users and Pages wherein these services and features may change from time to time. The premium subscription is offered on a recurring basis. The period of the subscription (monthly, quarterly, annually, or on any other basis) will be clearly communicated at the time of purchase by the Company. Unless canceled, subscriptions will automatically renew at the end of each subscription period, with the applicable fee charged to the User’s or the Page’s designated payment method. Users and Pages must meet the eligibility requirements, including age restrictions, as outlined in this T&C to subscribe to the premium model. All information provided during the subscription must be accurate and complete. The subscription model for this type of subscription is outlined below:
Student Subscriptions:
Basic Subscription: The Student Basic Subscription provides Users and Pages with access to a range of free features, including, but not limited to, the creation of a professional profile, the ability to send direct messages, and the opportunity to connect with other Users and Pages. However, certain features, including but not limited to, the allocation of coins, the awarding of any badges, and access to a limited gamified experience, may not be available under this subscription model.
Premium Subscription: In addition to the features available in the Student Basic Subscription, the Student Premium Subscription may offer enhanced functionalities, including, but not limited to, a premium badge, a monthly allotment of fifty (50) coins, and unlimited access to the gamified experience. The pricing for this subscription shall be disclosed by the Company on the Platform from time to time, and the Company reserves the right to change such prices at its sole discretion. Users and Pages must meet the eligibility requirements as outlined in this T&C to subscribe to the premium model, and all information provided during the subscription process must be accurate and complete.
Enterprise Subscriptions:
Basic Subscription: The Enterprise Basic Subscription for enterprises may include features including, but not limited to, a verified organization account, the ability for Users and Pages to apply for opportunities, basic analytics on student activity and requirements, and a monthly allocation of five hundred (500) coins. The pricing for this subscription shall be disclosed by the Company on the Platform from time to time, and the Company reserves the right to change such prices at its sole discretion. The Company may continuously offer new services and features to the Users and Pages wherein these services and features may change from time to time.
Standard Subscription: In addition to all features available in the Enterprise Basic Subscription, the Standard Subscription may include enhanced features, including, but not limited to, boosted visibility in search results, more comprehensive analytics on student activity and requirements, and access to an AI Support Assistant for handling prospective student inquiries. The pricing for this subscription shall be disclosed by the Company on the Platform from time to time, and the Company reserves the right to change such prices at its sole discretion.
Premium Subscription: The Enterprise Premium Subscription encompasses all features of the Standard Subscription, with additional benefits that may include, but not be limited to, priority boosting in searches, unlimited coins for creating job and scholarship listings, an advanced AI Support Assistant with personalized responses, and a dedicated account manager for support and strategic guidance. The pricing for this subscription shall be disclosed by the Company on the Platform from time to time, and the Company reserves the right to change such prices at its sole discretion.
Pay-as-you-go Option: Users and Pages may purchase additional coins in bundles (100 coins, 50 coins, 10 coins, and any other number of coins as may be provided by the Company) as part of the pay-as-you-go model. These coins can be used for various services within +twe, including, but not limited to, restoring daily streaks, accessing future services like scholarships, job opportunities, mentorship, and subscribing to influencers. Coins are purchased on an as-needed basis. The coins may be offered in new ways to all types of Users and Pages, wherein such change is at the sole discretion of the Company.
Payment Processing and Security: +twe accepts various forms of payment, as specified within the Platform. Users and Pages must provide valid and current payment information and are responsible for ensuring that their payment information is up to date. Payment processing is conducted through secure, encrypted channels. +twe employs reasonable measures to protect Users’ and Pages’ payment information, but cannot guarantee absolute security against unauthorized, illegal, or unlawful access or breaches. Payment processing may be facilitated by third-party service providers like the Google Play Store or IOS App Store. The Users and Pages acknowledge that these providers may have their own terms and conditions and privacy policies, for which the Company is not responsible and liable in any manner whatsoever.
Refund and Cancellation Policy: Once a subscription is initiated on the +twe Platform, it is irrevocable and binding for the duration of the agreed-upon term. The Company enforces a strict no-refund policy for all subscriptions and purchases. Under this policy, all transactions are final, and no refunds will be processed. It is only in exceptionally rare circumstances that the Company may, at its sole and absolute discretion, consider requests for refunds. These will be evaluated on a case-by-case basis, and the decision of the Company in such matters shall be final and binding. Users and Pages acknowledge and agree that these instances are extraordinary and do not constitute a regular practice or obligation on the part of the Company.
POINTS AND COINS SYSTEM
Earning Points and Coins: Users and Pages of +twe can accumulate points and coins (collectively, “Rewards”) through various activities within the Platform. These activities include, but are not limited to, completing educational modules, engaging in daily and monthly challenges, and other actions as specified by the Company. Points and coins are allocated based on the User’s and Page’s engagement level, contribution to the community, and completion of specific tasks. The process of allocation is governed by algorithms and policies set forth by +twe, which are subject to change at the Company’s discretion. Users and Pages will have access to a record of their accumulated points and coins via their account dashboard. +twe commits to maintaining transparency in the tracking and reporting of these Rewards.
Redemption and Usage: Rewards earned by Users and Pages can be redeemed for various features and benefits within the +twe Platform, as detailed in the service offerings. These may include restoring daily streaks, accessing exclusive content, and other future utilities as developed and introduced by the Company. Redemption of Rewards is subject to specific terms and conditions, including minimum threshold requirements, expiration dates, and other conditions as may be implemented by the Company. Rewards are non-transferable and cannot be exchanged for cash or other forms of credit, except as expressly allowed within the +twe Platform. The sale, exchange, or transfer of Rewards outside of the authorized channels provided by +twe is strictly prohibited.
Restrictions and Limitations: The accumulation and redemption of Rewards are subject to all applicable Company policies, including the Acceptable Use Policy and Prohibited Activities stipulations. The Company reserves the right to modify, suspend, or discontinue the points and coins system at any time, without prior notice to the Users and Pages. This includes changes to the methods of earning or redeeming Rewards, the value of Rewards, and the availability of redeemable features. The Company shall not be liable to any User, Page, or third party for any modification, suspension, or discontinuance of the Rewards or the points and coins system. The Company reserves the right to investigate any activities that it suspects to be fraudulent or in violation of this T&C. This may include, but is not limited to, manipulation of the system to earn Rewards unjustly, unauthorized transfer of Rewards, or any other activities deemed inappropriate or unethical by the Company. In cases of suspected or confirmed fraud, abuse, or violation of this T&C, the Company reserves the right to adjust a User’s or a Page’s Rewards balance, suspend or terminate accounts, and take legal action if necessary.
Commission Program
The Company offers a Commission Program designed to enhance student recruitment efforts for enterprises and corporations and to provide a mechanism for earning additional revenue through strategic collaboration with the Company. This program is structured to track referrals, promote enterprise or corporate-specific information, and incentivize successful engagements through a commission-based model.
Mechanism of the Commission Program: The mechanisms for the Commission Program may include, but not be limited to, the following mechanisms, as such mechanisms are subject to change based on each educational institute.
Unique Affiliate Code: Upon entering into the Commission Program, the enterprise or the corporation will receive a unique affiliate code. This code will be utilized to track referrals accurately. The code will be distinct and exclusive to the enterprise or the corporation, ensuring precise tracking and attribution of referred students.
Promotion of the Affiliate Code: The Company commits to promoting the enterprise’s or corporation’s unique affiliate code through multiple channels, including, but not limited to, the App, Website, social media platforms, and targeted e-mail campaigns. These promotional efforts are designed to maximize visibility and reach a broader audience, thereby increasing the potential for successful referrals.
Audience Diversion and Custom Landing Pages: Students who utilize the enterprise’s or corporation’s unique affiliate code will be directed to a customized landing page. This page will be tailored to include specific information about the enterprise or corporation, its programs, admissions procedures, and other pertinent details. The objective is to create a seamless and informative experience for prospective students, enhancing their engagement and interest in the enterprise’s or corporation’s offerings.
Commission Structure: The enterprise or corporation will earn a commission for each student who signs up and engages with the Platform using the enterprise’s or corporation’s referral code. The specifics of the commission, including the percentage or fixed amount, the payment schedule, and the conditions for commission payout, shall be detailed in an Affiliate Agreement executed between the enterprise or corporation and the Company. The commission is intended to incentivize the enterprise’s or corporation’s efforts in promoting the Platform and facilitating student engagement.
Terms and Conditions of Participation:
Eligibility and Compliance: Education institutes, corporations, and enterprises must comply with all eligibility requirements as stipulated by the Company. This includes adherence to the Platform’s terms and conditions, privacy policy, community guidelines, and any other Company policies. Education institutes, corporations, and enterprises are responsible for ensuring that their promotional activities are in accordance with the Applicable Laws.
Monitoring and Reporting: The enterprise or the corporation shall provide regular reports, as requested by the Company in writing, detailing the outcomes of its promotional efforts and any relevant data regarding student engagement.
Limitation of Liability: The Company shall not be responsible for any acts or omissions of the enterprise or the corporation under this Commission Program. The enterprise or the corporation, as the case may be, agrees to indemnify and hold the Company harmless from any and all claims, damages, losses, or expenses arising out of or related to the enterprise’s or the corporation’s participation in the program, including, but not limited to, promotional activities and interactions with prospective students. The corporations and enterprises acknowledge that they act independently and not as agents of the Company.
Termination and Modification: The Company reserves the right to terminate or modify the Commission Program at its sole discretion. Such termination or modification may occur if the enterprise or the corporation is found to be in violation of the terms, or if the Company deems it necessary for operational or strategic reasons. The enterprise or the corporation will be provided with notice of any such changes in accordance with the terms set forth in the Affiliate Agreement.
USER AND PAGE CONTENT AND INTERACTIONS
Content Creation and Sharing: Users and Pages of +twe have the ability to create, post, and share User-Generated Content. Users and Pages retain ownership of their User-Generated Content and are solely responsible for its accuracy, integrity, and legality. By creating and sharing User-Generated Content on the Platform, Users and Pages grant the Company a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, reproduce, distribute, modify, adapt, publicly display, and otherwise exploit such User-Generated Content in connection with the operation and promotion of the Platform. Users and Pages represent and warrant that they possess all necessary rights to their User-Generated Content and that such content does not infringe upon the rights of any third party, including intellectual property rights, privacy rights, and publicity rights.
Content Moderation:
Company’s Role: The Company reserves the right, but not the obligation, to monitor and moderate User-Generated Content. The Company may, at its sole discretion, remove or edit User and Page Content that is deemed to violate this T&C, community guidelines, or applicable laws.
Automated Tools: The Company may employ automated tools and algorithms to assist in content moderation. These tools are designed to detect and address content that violates Platform policies, but they may not be infallible.
User and Pages Cooperation: Users and Pages are expected to cooperate with the Company’s content moderation efforts and comply with any requests or instructions from the Company related to User-Generated Content.
No Liability: The Company is not liable for any User-Generated Content posted on the Platform. The opinions, statements, and content expressed by Users and Pages are their own and not endorsed by the Company.
Feedback and Improvement: The Company is committed to continuously improving its content moderation practices and encourages feedback from Users and Pages regarding these efforts.
DISCLAIMER OF WARRANTIES
Service “As Is”:
General Condition: The Company provides its Platform “as is” and “as available” without any warranties of any kind, either express or implied. This encompasses the entire gamut of services offered, including, but not limited to, the usability, accessibility, and functionality of the +twe App and Website, the points and coins System, the learning modules, social networking features, and all other features.
Exclusion of Warranties: To the fullest extent permissible pursuant to applicable law, the Company disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. The Company does not warrant that the Platform or any of its functions will be uninterrupted or error-free, that defects will be corrected, or that any part of this Platform, or the servers that make it available, are free of viruses or other harmful components.
User and Pages Responsibility: Users and Pages acknowledge that their use of the Platform and the User-Generated Content is at their sole and absolute risk, responsibility, and liability. The responsibility for ensuring that their use of the Platform aligns with their specific requirements, including compatibility with their hardware or software, rests solely with the User and Pages. The Company shall not be responsible for the User-Generated Content and any damage to the User’s and Page’s computer system, mobile device, data, or other property resulting from their access to or use of the Platform.
No Guarantee of Accuracy: While +twe endeavors to provide accurate and up-to-date information, the Platform may contain typographical mistakes, inaccuracies, or outdated information. The Company makes no warranties or representations as to the accuracy of the Platform’s content and assumes no liability or responsibility for any errors or omissions in its content. Any content accessed, downloaded, or otherwise obtained through the use of the Platform is done at the User’s and the Page’s own discretion and risk. Users and Pages are solely responsible for any damage or loss that results from such actions. +twe does not guarantee that the advice, recommendations, or guidance provided as part of its Platform is accurate or appropriate for any particular individual or situation. Accordingly, Users and Pages should not rely solely on this information for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. The Company does not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User-Generated Content or endorse any opinions expressed via the Platform. Users and Pages understand that by using the Platform, they may be exposed to User-Generated Content that might be offensive, harmful, inaccurate, or otherwise inappropriate. The Company does not warrant the validity, accuracy, or legal status of any User-Generated Content.
Content for General Information Purposes Only: The content provided through the +twe Platform, including but not limited to text, graphics, images, information obtained from licensors, and other material (“Content”), is for general information purposes only and is not intended to be a substitute for professional advice. Users and Pages acknowledge that they must exercise their own judgment and bear all responsibility for the consequences arising from the use of any Content and the User-Generated Content provided on or through +twe. This includes, but is not limited to, decisions made regarding their career, education, or personal development. The Company does not represent or warrant the accuracy, completeness, reliability, suitability, or timeliness of the Content and the User-Generated Content. Reliance on any information provided by +twe, Company personnel, others appearing on the Platform at the invitation of +twe, or other Users and Pages of the Platform is solely at the User’s or Page’s own risk. The Company is not responsible for the accuracy, compliance, copyright, legality, decency, or any other aspect of the content of links, third-party services, advertisements, or other materials provided by third parties. To the fullest extent permitted by applicable law, in no event shall the Company or its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or in connection with the use, inability to use, or reliance on the Content and the User-Generated Content. Users and Pages expressly agree that they will not initiate any legal action, claim, or lawsuit against the Company, its affiliates, officers, directors, employees, agents, licensors, or service providers in connection with their use of or reliance on any Content and the User-Generated Content provided on or through the Platform. By using the +twe Platform, Users and Pages acknowledge that they understand and agree to this disclaimer and waiver of liability, and accept that they are using the +twe services, Content, and the User-Generated Content at their own risk.
LIMITATIONS OF LIABILITY
General Limitations: Under no circumstances shall the Company, its affiliates, directors, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the User’s or Page’s use of or inability to use the Platform, including, without limitation, any damages resulting from loss of use, data, or profits, whether or not the Company has been advised of the possibility of such damages, and on any theory of liability arising out of or in connection with the use of the Platform or of any website referenced or linked to from the Platform. In no event shall the total liability of the Company, its affiliates, directors, officers, employees, agents, suppliers, or licensors to the User or the Page for all damages, losses, and causes of action arising out of or relating to this T&C or the User’s or Page’s use of the Platform exceed the amount the User or the Page has paid to the Company in the last six (6) months, or, if greater, USD 100 (US Dollars one hundred only). The User and Page acknowledge that the fees charged for the Platform reflect the allocation of risk set forth in this T&C and that the Company would not enter into this T&C without these limitations on its liability.
Specific Exclusions: The Company is not liable for any statements, representations, or User-Generated Content provided by its Users and Pages in any public forum, personal home page, or other interactive areas. The Company is not liable for the conduct, whether online or offline, of any User or the Page of the Platform. The Company shall not be responsible for any loss of data or corruption of data, except to the extent that such loss or corruption is a direct result of negligence or willful misconduct by the Company. In such a case, liability will be limited as set forth in this T&C. The Company is not liable for any loss or damage incurred as the result of any dealings with third-party service providers or advertisers available through the Platform, or as the result of the presence of such advertisers on the Platform. The Company is not liable for any failure to perform its obligations hereunder where such failure results from any cause beyond the Company’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation. To the maximum extent permitted by applicable law, in no event will the Company be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of the User, Page, or anyone else in connection with the use of the Platform.
INDEMNIFICATION
User and Page Responsibilities: Users and Pages of +twe are responsible for their actions on the Platform, including the creation and sharing of content, interactions with other Users and Pages, and compliance with this T&C. Users and Pages must conduct themselves in a manner that upholds the integrity of +twe and adhere to the legal and ethical standards set forth by the Platform. Users and Pages are obligated to comply with all applicable local, state, national, and international laws, regulations, and rules while utilizing the Platform. Any breach of such laws and regulations in connection with the use of the Platform shall be the User’s and Page’s sole responsibility. Users and Pages are responsible for ensuring the accuracy, legality, and propriety of all information and content they provide on the Platform. This includes, but is not limited to, personal information, User-Generated Content, and any communications with other Users and Pages.
Indemnity Obligations: Users and Pages agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the Platform from and against any and all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of this T&C or any activity related to the User’s and Pages account (including negligent or wrongful conduct) by the User, Page, or any other person accessing the Platform using the User’s or the Page’s account. In the event of a claim that is subject to indemnification under this T&C, the Company shall provide notice to the User and Page and may, at its sole discretion, assume the exclusive defense and control of any matter otherwise subject to indemnification by the User and the Page. The User and Page agree to cooperate with the Company in asserting any available defenses and shall not settle any claim without the prior written consent of the Company. Users and Pages must take all necessary steps to prevent any further loss or damage to the Company and its Users and Pages. This includes immediate notification to the Company in the event of a security breach or other emergency situation. The indemnification obligations under this T&C shall survive the termination or expiration of the User’s and Page’s use of the Platform.
CHANGES TO TERMS AND SERVICES
Right to Modify T&C: The Company reserves the unilateral right to modify, amend, or replace this T&C at any time. This includes the ability to alter, discontinue, or impose conditions on the use of the Platform, whether in whole or in part. Such modifications may pertain to any aspect of the Platform, including, but not limited to, the introduction of new features, modifications of existing features, the implementation of new pricing structures, and adjustments to the points and coins System. The modifications may affect the rights and responsibilities of the User and the Page, the nature of the services provided, the manner in which services are delivered, and the structure of transactions within the Platform. This may include changes in policies, operational methodologies, and User and Page interfaces. Changes may be driven by a variety of factors, including, but not limited to, technological advancements, legal and regulatory changes, new business practices, User and Page feedback, market dynamics, and operational considerations.
Notification of Changes: The Company will notify Users and Pages of any material changes to this T&C or to the Platform through appropriate means, which may include notifications within the Platform, email communications, or announcements on the +twe Website or App. Except in urgent situations, such as those requiring immediate action for security reasons or legal compliance, The Company aims to provide reasonable advance notice of significant changes. Continued use of the Platform after the effective date of any changes will constitute acceptance of, and agreement to, those changes. Users and Pages are responsible for regularly reviewing the T&C to stay informed of any updates. The effective date of the revised T&C will be indicated at the top of the document. Users and Pages are encouraged to provide feedback or express concerns regarding any changes to the T&C. While the Company values User and Page input, the final decision regarding any modification rests solely with the Company. In certain cases, the Company may provide a grace period following the implementation of significant changes, during which Users and Pages may adjust to the new T&C before they take full effect.
TERMINATION OF USE
User and Page Termination Rights: Users and Pages have the right to terminate their use of the +twe service at any time. This termination involves deactivating or deleting their account and ceasing all use of the Platform. Users and Pages must understand that upon termination, their access to all services, content, and User-Generated Content on +twe will cease. To initiate termination, Users and Pages must follow the prescribed procedure outlined in the +twe App or Website. This may involve navigating to account settings and selecting the option to deactivate or delete the account. Users and Pages are responsible for all activities conducted under their account up until the time of termination. This includes obligations related to content posted, interactions with other Users and Pages, and financial transactions. Upon termination, the Company will handle the User’s and Page’s data in accordance with its privacy policy and applicable legal requirements. Users and Pages should refer to the Privacy Policy for details on data retention and deletion.
Company’s Termination Rights: The Company reserves the right to terminate a User’s and Page’s access to all or part of the service at any time, without notice, for conduct that the Company believes violates this T&C or is harmful to other Users and Pages of the +twe Platform, or for any other reason at the sole discretion of the Company. In certain cases, based on the severity of the User’s and Page’s actions, the Company may terminate the User’s and Page’s account immediately. This includes, but is not limited to, cases of severe breaches of community standards, illegal activities, or actions that pose a threat to the safety and security of +twe or its Users and Pages. In cases where practical, the Company may notify the User or the Page of the termination and the grounds for such action. The User or the Page may have the option to appeal the decision through a channel provided by the Company, subject to the discretion of the Company. Upon termination, the User or the Page will lose access to all parts of the Platform, and the Company may delete the User’s or Page’s data, content, and other information related to the account. The Company is not responsible for any loss or harm resulting from termination. Termination does not affect the User’s and the Page’s liability or obligations under this T&C, including any indemnification obligations, which survive the termination of the service.
GOVERNING LAW AND DISPUTE RESOLUTION
Governing Law: This T&C and the rights of the Parties hereunder shall be governed by and construed in accordance with the laws of the United Arab Emirates, exclusive of conflict or choice of law rules. Both Parties agree that the laws of the United Arab Emirates, without regard to principles of conflict of laws, shall govern this T&C and any dispute of any sort that might arise between both Parties. The courts in the United Arab Emirates shall have exclusive jurisdiction over any of the disputes arising out of or in relation to or in connection with this T&C.
Dispute Resolution: In the event of any dispute, controversy, or claim arising out of or in relation to or in connection with this T&C or its breach, termination, or validity thereof, both Parties shall follow the dispute resolution procedure set forth below:
Mutual Negotiations: Both Parties shall first engage in bona fide mutual and amicable negotiations with respect to the dispute, controversy, or claim to resolve the dispute informally.
Mediation: If the Parties are unable to resolve the dispute informally within thirty (30) days of initiating mutual negotiations, then either Party may initiate mediation proceedings by providing a written notice to the other Party. Both Parties shall then engage in mediation within thirty (30) days from the date of receipt of the written notice, using a mediator selected by mutual agreement or by a mediator appointed by a court of competent jurisdiction as per the Applicable Laws. Both Parties shall also mutually decide the rules and procedure for the mediation proceedings in writing unless institutional mediation is selected by both Parties in writing, wherein the mediation shall be governed by the rules and procedure of the mutually selected mediation institution.
Arbitration: If the Parties are unable to resolve the dispute through mediation within thirty (30) days from the date of initiating mediation, then either Party may initiate arbitration by providing a written notice to the other Party as per the Applicable Laws. The arbitration shall be conducted in accordance with the rules and procedures as may be mutually determined by the Parties in writing. The seat and venue for arbitration shall be Dubai, United Arab Emirates. The arbitration shall be conducted by a sole arbitrator mutually selected and appointed by both Parties. In case the Parties fail to appoint an arbitrator, they may request the competent court to appoint a suitable arbitrator under the Applicable Laws. The arbitration shall be conducted in English language only. The decision of the arbitrator shall be final and binding on both Parties. In the event that a Party fails to proceed with arbitration, unsuccessfully challenges the arbitrator’s award, or fails to comply with the arbitrator’s award, the other Party is entitled to recover the costs associated with enforcing or defending this award. This includes, but is not limited to, reasonable attorney’s fees, court costs, and necessary disbursements in addition to any other relief to which the Party may be entitled.
MISCELLANEOUS
Severability: If any provision of this T&C is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, such provision shall be modified, rewritten, or interpreted to include as much of its nature and scope as will render it enforceable. If the court finds the said provision cannot be modified, rewritten, or interpreted to become enforceable, the said provision shall be severed from this T&C, and the remaining provisions of this T&C shall remain in full force and effect as if such provision was not included. In the event such an invalid, illegal, or unenforceable provision is an essential part of this T&C, both Parties shall immediately commence good faith negotiations to replace such provision with a mutually acceptable provision that, to the greatest extent possible under Applicable Laws, achieves the same economic, legal, and other benefits as the severed provision. This clause shall be applied and construed both with respect to this T&C taken as a whole, and with respect to the parts and sub-parts of this T&C taken separately.
Assignment: The User and the Page shall not assign in whole or in part its rights or obligations under this T&C without the prior written consent of the Company. The Company shall assign in whole or in part its rights or obligations under this T&C without the prior written consent of the User and the Page. In case of such assignment, it shall be binding on and inure to the benefit of the respective successors of the Parties thereto.
Waiver: No forbearance, failure, delay, or negligence in exercising any power, right, or privilege under this T&C by any Party shall constitute a waiver thereof. Any single or partial exercise of any right, power, or privilege under this T&C by any Party shall not preclude any other or future exercise thereof or the exercise of any other right, power, or privilege. Waiver by any Party of a breach or violation of any provision of this T&C shall not constitute a waiver of any subsequent breach, default, or violation. Any waiver, permit, consent, or approval of any kind under this T&C must be made explicitly in writing and shall be valid only to the extent of its express terms and conditions.
Entire Agreement: This T&C constitutes the full and complete understanding and contractual agreement between both Parties, superseding all prior or contemporaneous oral or written communications, proposals, agreements, understandings, or representations about the subject matter herein. All prior understandings, discussions, negotiations, and agreements, whether oral or written, are merged herein.
Notices: All notices, requests, demands, and other communications that are required or may be given under this T&C shall be in writing and shall be deemed to have been duly given if delivered personally or sent by facsimile transmission, by telex, by registered mail, by fax or by electronic mail, to the respective Parties. Notice shall be deemed given: if delivered personally, upon receipt; if sent by telex, upon confirmation of receipt; if sent by registered mail, within three (3) days of depositing in the mail; if sent by fax or electronic mail, upon electronic confirmation of receipt; or if posted on the other Party’s last known residence, the next business day after posting. A notice is deemed to be received if it is delivered personally, when it is delivered; if sent by telex, on the third business day after posting; if sent by registered mail, on the date of signature of the courier’s receipt or if sent by e-mail or fax, at the time of transmission, provided that no “out of office,” “delivery failure,” or “not read” message relating to such e-mail is received by the sender within one (1) hour of transmission.

Legal Notices: All formal legal notices or communications intended for +twe must be sent in writing to the Company. Such notices may include, but are not limited to, legal claims, intellectual property infringement notices, and formal complaints. Upon receipt of any legal notice, the Company will acknowledge receipt and may take any action deemed appropriate in accordance with the applicable laws and its internal policies. Users and Pages sending legal notices should obtain confirmation of receipt from the Company. Legal notices must contain specific details and a factual basis for the claim or complaint being made. Vague or unsubstantiated notices may not be actioned by the Company. In the event of a legal dispute or claim against the Company, Users and Pages are encouraged to seek independent legal advice. The Company’s legal team will engage in such matters in accordance with the legal and regulatory framework applicable to the Company and its services. The Company reserves the right to modify its contact information, including customer support channels and legal department address, as necessary. Such changes will be updated in the T&C and may be communicated to the Users and Pages through appropriate means.
